Create Script To Rotate/Fade Background Images

I need a php script written that when loaded will automatically rotate web page body background images based on a list of files in a particular directory (all found .jpg files for example) and that will smoothly fade between images. The fade/rotation time would be based on a number of seconds schedule that will be a variable.
I need to be able to put content in front of the rotating / fading background images and I need the first image to be automatically loaded on the page when it first is loaded.
The code must be well written and at least moderately documented so modifications can be made if needed down the road.
If needed I can provide the graphic files (currently 8 of them).
