Sales Agreement (For Real Lawyers With Real Experience)

I am the appointed distributor for XXXXXXX 2. XXXXXXis a cloud based rehabilitation software. 3. I have two types of customers : a) hospitals and rehabilitation centres, or similar , b) Direct to end customer (which bypasses hospitals and rehabilitation centres) 4. I need to draft a formal sales agreement for my hospital and rehabilitation customers 5. For Direct To End Customer - I think a simple one page terms and conditions will do. This to be attached to invoice. Customers wishes to use XXXXXXX directly and does so at own risk, etc.. Sales Agreement 1. Please keep structure flexible and distinct. a) flexible structure to allow any party (ie. my company, XXXXXXX or hospital/rehabilitation centre) to add or delete new terms and conditions now or in the future. b) Separate unique documentation & terms and condition from XXXXXXX under distinct headers and under appendix/annex c) documentation signing only between my company and customer. (I do not want customer to sign any agreement with XXXXXX directly. This will protection me commercially) 2. Include liability protection from all potential issues (govt, regulatory, taxes, medical , safety, internet, hardware, etc..) that may occur in using XXXXX, a product made by a based overseas. 3. Appropriate financial terms and conditions involving 3 parties across 2 countries (e.g sales, refund, default etc.. to cater to any change 4. All other legal terms and conditions necessary
